1. ACCEPTANCE OF TERMS

By downloading, installing, accessing, or using the Foodielink mobile application ("App"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not use the App.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Gatherella ApS ("Company," "we," "us," or "our"), a company organized under the laws of Denmark.

3. USER REGISTRATION AND ACCOUNT CREATION

3.1 Registration Requirements

To use the App, you must create an account by providing the following information:

• Email address
• First name
• Last name
• Password

3.2 Registration Process

Account registration consists of two steps:

1. Register by providing your name, email address, and password
2. Activate your account using the verification code sent to your email address

3.3 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. PAYMENT TERMS

The App is provided free of charge. No payment is required to access or use the App's features and services.

5. USER CONDUCT AND ACCEPTABLE USE

5.1 General Use

You may use the App for lawful purposes in accordance with these Terms. You agree to use the App in a manner consistent with all applicable laws and regulations.

5.2 User-Generated Content

While the App does not allow the creation of intellectual property content, you may post updates, share photos, and leave comments. You represent and warrant that any content you submit:

• Is accurate and not misleading
• Does not violate any third-party rights
• Does not contain harmful, offensive, or illegal material
• Complies with all applicable laws

5.3 Prohibited Activities

You agree not to:

• Use the App for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to the App or its systems
• Interfere with or disrupt the App's functionality
• Upload or transmit viruses, malware, or other harmful code
• Impersonate any person or entity
• Collect or harvest personal information of other users without consent

6. INTELLECTUAL PROPERTY RIGHTS

6.1 App Ownership

The App and all its content, features, and functionality are owned by Gatherella ApS and are protected by copyright, trademark, and other intellectual property laws.

6.2 User Content

You retain ownership of any content you create and share through the App. By using the App, you grant us a non-exclusive, royalty-free, worldwide license to use, display, and distribute your content solely for the purpose of providing the App's services.

6.3 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes in accordance with these Terms.

7. PRIVACY

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information when you use the App.

8. DISCLAIMERS AND LIMITATION OF LIABILITY

8.1 Service Availability

• We do not guarantee that the App will be available 24/7 or error-free
• We are not responsible for service interruptions due to maintenance, technical issues, or third-party failures

8.2 User-Generated Content

• We are not responsible for content posted by application users
• We are not responsible for any content users upload to the App

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Gatherella ApS and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the App or violation of these Terms.

10. TERMINATION

10.1 Termination by User

You may terminate your account at any time for any reason without notice to us. To terminate your account, you can use the account deletion feature in the app account settings.

10.2 Effect of Termination

Upon termination, your access to the App will cease immediately. We may retain certain information as required by law or for legitimate business purposes as outlined in our Privacy Policy.

10.3 Termination by Company

We reserve the right to suspend or terminate accounts that violate these Terms & Conditions.

11. MODIFICATIONS TO TERMS

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms within the App. Your continued use of the App after such modifications constitutes acceptance of the updated Terms.

12. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of Denmark. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Denmark.

13. SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

14. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gatherella ApS regarding your use of the App and supersede all prior agreements and understandings.
